  • Thomas Grella, a shareholder and former managing partner of McGuire, Wood & Bissette, PA in Asheville, NC has been nominated by the American Bar Association House of Delegates to serve a three-year term on the Association’s Board of Governors beginning after the ABA Annual Meeting this August. The 43-member Board of Governors oversees the general operation of the ABA and has the authority to act and speak for the ABA, consistent with previous action of its House of Delegates, when the House is not in session. The ABA is the largest voluntary professional organization of lawyers in the world. Congratulations, Tom, and thank you for your continued service to the ABA!

  • Did you know that today is National Doctors’ Day?   According to nationaldoctorsday.org, the origin of National Doctors’ Day dates back 90 years to Winder, Georgia, a community with 18,000 residents just outside the city of Atlanta. In 1933, Eudora Brown Almond, the wife of a family medicine physician, Dr. Charles B. Almond, felt doctors deserved a little extra recognition in American society for their extraordinary, lifesaving, and often thankless work.   Almond turned to her fellow citizens in rural Georgia to send greeting cards to each of their physicians and lay flowers on the graves of late physicians. March 30 was not chosen at random. The day of observance for National Doctors’ Day was picked to commemorate the first use of anesthesia during surgery in 1842 by physician Dr. Crawford Long, a well-known doctor from Jefferson, Georgia.    On March 30, 1958, Congress adopted a resolution commemorating March 30 as National Doctors’ Day after the movement gained traction in the medical community over two decades.    In 1990, President George H.W. Bush designated National Doctors’ Day an official day of recognition by the U.S. government. These days, doctors’ contributions are celebrated nationwide on March 30 and around the world by employers, co-workers, and patients of physicians.   MWB salutes and thanks the region's physicians for their care of our community.   Here at MWB, attorney John Fleming assists physicians, hospitals, dentists, assisted living facilities, home health care providers, and other healthcare practitioners in navigating the complex, day-to-day legal requirements of a medical practice, including regulatory compliance, real estate transactions, employment and personnel matters, corporate governance, and the purchase or sale of a practice.

  • The Corporate Transparency Act-What you need to know. Check out this fact sheet from MWB attorneys Beth Lane, LLM Tax, and Harris Livingstain, LLM Tax, which addresses this important piece of legislation: The Corporate Transparency Act (the “CTA”) was signed into law on January 1, 2021 and became effective on January 1, 2024. The CTA expanded anti-money laundering laws and created new reporting requirements for certain companies doing business in the US. Under its terms, many small businesses are required to report information about their beneficial owners in a Beneficial Ownership Information Report (a “BOI Report”) to the Financial Crimes Enforcement Network (“FinCEN”). FinCEN will use the information to create a national database for use by national security and law enforcement agencies to prevent the use of shell companies for criminal activity. The constitutionality of the CTA is still being litigated across the country and recently, a U.S. District Judge in Alabama ruled that it was unconstitutional. This Alabama decision is not applicable to any other jurisdiction, though, and at this time, the CTA remains in effect. While we continue to monitor the progress of CTA-related litigation, it is important to comply with its provisions so long as it remains valid.   Who Must File:   Most foreign and domestic companies are deemed to be “Reporting Companies” under the law and are therefore required to file a BOI Report with FinCEN. As a general rule, a company is a Reporting Company if it was formed by filing a document with the secretary of state or similar state office. Because sole proprietorships, trusts, and general partnerships are not formed in this manner, they are not considered to be Reporting Companies under the CTA. The CTA also contains a number of notable exceptions, which include large operating companies that have (a) more than 20 full-time US employees, (b) an operating presence at a physical office within the US, and (c) more than $5,000,000 of US-sourced gross receipts reported on its prior year federal income tax return, as well as 501(c)(3) tax-exempt entities, certain entities that are issuers of securities who are registered under the Securities and Exchange Act of 1934, insurance companies, banks, and credit unions.
